Before you incorporate
The name reservation, the bylaws and deed, the notary appointment, registration with the Registro Mercantil, the NIF and the tax registration. Notary and registry fees, the name reservation and the BORME publication (the official companies gazette) are included too.
The share capital, which is not a cost: it stays in the company. It also excludes digital certificates, partners’ powers of attorney, translations or apostilles, and the company’s accounting and taxes afterwards.
It depends on the Registro Mercantil Central, which certifies the name, the notary’s availability and the Registro Mercantil, which registers the deed. The app shows which step your company is at and what is missing.
No. Since Law 18/2022 you can incorporate an S.L. with €1. Below €3,000, at least 20 % of profit goes to a legal reserve until it reaches that amount, and in a liquidation the partners cover the difference.
If the capital is paid in cash, it is usually deposited in an account in the name of the company in formation, and the bank’s certificate goes to the notary. In an S.L. this may not be needed if the partners declare in the deed that they answer for those contributions. We go through it with you when preparing the deed.
Once it has an NIF. After signing, a provisional NIF is requested, and with it the company can operate while it is being registered. Until registration it is a company in formation.
Yes: that is a single-member company (S.L.U.). You can also have partners, people or companies, with the stakes you agree.
Usually yes, as an autónomo societario, if you manage it and have effective control: presumed with at least 25 % if you run the company, 33 % if you work in it or 50 % together with your family.
Each partner needs a Spanish tax ID: an NIE for a person. If you cannot attend the notary in Spain, a power of attorney may be needed; it is paid separately, as are translations and apostilles. Ask us on WhatsApp about your case.
Yes, with a shareholders’ resolution, a notarial deed and registration. It is not part of the incorporation, so it pays to define the activity well from the start.
